Terms and Conditions (Terms of Service)

1. INTRODUCTION

These Terms & Conditions (“Terms”) govern the use of the Soft Way platform (“Platform”, “Service”), operated by Soft Way Sp. z o.o. (“Soft Way”, “we”, “us”, “our”). By accessing or using the Platform, you agree to be bound by these Terms.

2. SCOPE OF SERVICES

Soft Way provides a B2B SaaS platform for corporate travel management, including booking, policy enforcement, approvals, reporting, invoicing, and analytics.

Soft Way is not a travel agency and does not operate transportation or accommodation services. All travel services are provided by third-party suppliers.

3. ELIGIBILITY AND ACCOUNTS

• The Platform is available only to business users (legal entities or authorized representatives).
• Users must provide accurate and complete registration information.
• Account holders are responsible for maintaining the confidentiality of login credentials.

4. USE OF THE PLATFORM

Users agree to:

• use the Platform only for lawful business purposes;
• comply with applicable laws, including GDPR and financial regulations;
• not misuse, reverse-engineer, or disrupt the Platform.

Soft Way reserves the right to suspend or terminate access in case of violation.

5. BOOKINGS AND THIRD-PARTY SERVICES

• All bookings are subject to the terms and conditions of third-party providers (airlines, hotels, rail operators, etc.).
• Soft Way is not responsible for changes, cancellations, delays, or failures of third-party services.
• Prices, availability, and conditions are determined by suppliers.

6. FEES AND PAYMENTS

• Fees may include subscriptions, transaction fees, or additional service charges, as agreed in a commercial contract.
• Payments are subject to agreed invoicing and payment terms.
• Late payments may result in suspension of services.

7. INTELLECTUAL PROPERTY

All intellectual property rights in the Platform, including software, algorithms, trademarks, and content, belong to Soft Way or its licensors.

Users receive a non-exclusive, non-transferable right to use the Platform during the contract term.

8. DATA PROTECTION

Soft Way processes personal data in accordance with its Privacy Policy and applicable data protection laws, including GDPR.

Corporate customers remain data controllers; Soft Way acts as a data processor where applicable.

9. CONFIDENTIALITY

Both parties agree to keep confidential any non-public business, technical, or commercial information exchanged during the use of the Platform.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• Soft Way shall not be liable for indirect, incidental, or consequential damages;
• total liability shall not exceed the fees paid by the customer in the preceding 12 months.

11. DISCLAIMER

The Platform is provided “as is” and “as available”. Soft Way does not guarantee uninterrupted or error-free operation.

12. TERMINATION

Either party may terminate the agreement according to the commercial contract or upon material breach.

Upon termination, access to the Platform will be revoked.

13. GOVERNING LAW

These Terms are governed by the laws of Poland (or another jurisdiction if specified in the commercial agreement).

14. CHANGES TO THE TERMS

Soft Way may update these Terms from time to time. Continued use of the Platform constitutes acceptance of updated Terms.
